Welcome to Yada! Please read these Terms of Service ("Terms") carefully before using our platform.

Definitions

"The platform": any website, application or online service provided by Yada;

"Client": A person requesting Services on the Platform by posting a Listing;

"Post / Posting / Posted": To display, publish, distribute, transmit, or otherwise make information or material available on the Platform.

"Provider": A person offering Services on the Platform by applying for or completing jobs that have been Listed;

Acceptance of Terms

By accessing or using Yada ("the Platform"), you agree to comply with and be bound by these Terms. If you do not agree with any part of the Terms, you may not access the Platform.

Description of Service

Yada provides a platform that connects individuals and businesses seeking specialized services ("Clients") with skilled professionals and businesses offering their services ("Specialists"). The Platform facilitates communication, collaboration, and transactions between Clients and Specialists.

Our contract

Yada is a job marketplace. We are not a Buyer or Provider of Services, and we do not act as a principal or agent in job transactions.

We act only as a platform allowing users to list and promote their Services and connecting Clients and Specialists with each other.

You may submit comments or complaints about a specialist or a client through our contact form. While we may, at our discretion, act on these complaints, we are not obliged to do so.

Yada is not responsible for:

• the supply or cancellation of any Service you purchase;
• your decision to post a Listing;
• your choice of a listing to make an offer to or a specialist to connect to;
• the quality, timing, or delivery of any Service;
• issuing refunds for Services;
• your choice to register as a Specialist or as a Business;
• payment of Services you provide;

If you have a dispute with another user (whether Buyer or Specialist), you must resolve it directly with them. Yada has no legal responsibility for the Services agreed or provided through the Platform. In some circumstances, however, we may choose to help both parties work towards a resolution.

By using this website, you agree to these terms and conditions, which govern the relationship between you and Yada. We may update this agreement at any time. The version in effect is the one published on the Platform at the time your contract was formed.

User Accounts

Registration: Users must create an account to access certain features of the Platform. Users agree to provide accurate and complete information during the registration process.

Account Security: Users are responsible for maintaining the confidentiality of their account credentials and for all activities under their account. Notify us immediately of any unauthorized use.

Use of the Platform

User Conduct: Users agree not to violate any laws, infringe on the rights of others, or engage in prohibited activities while using the Platform.

Content: Users are responsible for the content they post on the Platform. Yada reserves the right to remove any content that violates these Terms or is deemed inappropriate.

Intellectual Property

Ownership: Users retain ownership of their intellectual property. By using the Platform, users grant Yada a non-exclusive license to use, display, and reproduce their content for the purpose of providing and promoting the services.

Infringement: Yada respects intellectual property rights. Users agree not to infringe on the intellectual property rights of others.

Termination

Yada reserves the right to suspend or terminate accounts and access to the Platform for violation of these Terms or for any other reason.

Limitation of Liability

Yada is not liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Platform.

How We Handle Your Content

Our Privacy Policy complies with the Privacy Act 2020 (see: Privacy Act 2020).

When you post Content on any public area of the Platform (including Listings), it becomes public. We cannot control who views it or how it is used.

Even if your Content is behind a login or registration wall, it should be treated as public, since anyone with an account can access it. For this reason, please avoid posting unnecessary confidential information.

By posting Content on the Platform, you grant us an irrevocable licence to:

• edit, copy, publish, distribute, translate, and otherwise use your Content;
• in any medium and in public domains;
• strictly for the commercial purposes of our business;

We will stop using your Content once it is no longer commercially reasonable to do so. You also waive any right to be identified as the author of the Content.

You confirm that you have the authority to grant us these rights and accept full responsibility if your Content infringes intellectual property rights, is defamatory, or breaches any law.

You are solely responsible for ensuring your Content is not confidential and does not violate the rights of others.

If you become aware of any security breach or unauthorised use of your account, you must notify us immediately by emailing support@yada.co.nz

If you send us feedback, suggestions, or ideas for improving the Platform, you grant us the right to use them freely without compensation or recognition.

Referral Program Terms and Conditions

Eligibility: To participate in the referral program, both the referrer (the person sending the invitation) and the referee (the person receiving the invitation) must be registered users of Yada.

Referral Credit: The referrer and the referee will each receive a $50 credit toward future usage on the platform upon the referee completing their sign-up using the unique referral link.

Referral Link: The referrer must share their unique referral link with the referee. The referee must use this link to sign up for the offer to be valid.

Credit Usage: Referral credits will be applied to the user's account after sign-up and can only be used to pay for services provided directly by Yada. These credits cannot be used for any payments or transactions between users, nor can they be redeemed for cash or any other form of payment.

Program Limits: There is no limit to the number of referrals a user can make; however, the referral reward is only valid for the first sign-up of each new user invited.

Fraudulent Activity: Any fraudulent or suspicious activity related to the referral program will result in the removal of the referral credits and may lead to account suspension or termination.

Changes to the Program: Yada reserves the right to modify, suspend, or terminate the referral program at any time without notice.

General Conditions: By participating in the referral program, users agree to these terms and conditions. All decisions by Yada regarding the referral program are final.

Changes to Terms

Yada may update these Terms at any time. Users will be notified of significant changes. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

Disclaimer of Warranties

Yada provides the Platform "as is" without any warranty. Users use the Platform at their own risk.

Governing Law

These Terms are governed by and construed in accordance with the laws of New Zealand.
